What is the quorum to appoint an Additional Director in
the Private Limited Company or in Public Limited Company, in which already Nine
Directors are existing?
If a
Company wants to appoint an additional Director, and the total number of Directors,
that is the strength of the Board of Directors is 9 ( Nine ) of that Company,
then the minimum requirement to form quorum is 3 ( three ).
It
means minimum 3 ( Three ) Directors need to be present in the Board Meeting to
appoint an Additional Director
As per
the Companies Act, 2013, the minimum requirement for forming a quorum for Board
Meeting is 1/3 ( One Third ) of the total strength of the Board of Directors or
2 ( Two ) Directors, whichever is higher.
In this
case the total number of Director is 9 and the 1/3 ( One Third ) of the 9 (
Nine ) is “3” ( Three ),
Or
2 ( Two
) Directors whichever is higher,
So
therefore, we need to consider “3” ( Three ) for forming quorum, to appoint Additional
Director.
If a Director
participates in Board Meeting through Video Conferencing and other Audio Visual
means, that participation shall also be counted for the purpose of quorum.
